Further to the Current Report No. 8/2017, the Board of Directors of NESTMEDIC SA, a joint-stock company, with its registered office in Wrocław, hereby publish the information on the Issuer’s Supervisory Board members appointed on July 12, 2017.
Barbara is a lawyer and transaction advisor. She holds degrees in law from Harvard Law School (USA)(2012) and Jagiellonian University (Poland)(2011). Barbara is licensed to practice as a lawyer in the USA (the state of New York, as an attorney-at-law) and the UK (England and Wales, as a solicitor). She also studied at Katholieke Universiteit Leuven (Belgium) and Bucerius Law School in Hamburg (Germany).
Barbara used to work for international law firms in Warsaw and London, where she advised private equity funds and big corporate clients about international and national transactions capital markets, M&A and transformations.
Now she is a transactional advisor and an investor who provides legal and business support for growing businesses and investors in Poland and abroad. Barbara co-operates with law firms and consultancies from the Silicon Valley, New York and Warsaw, advising innovative businesses and venture capital funds on legal and business-related aspects of their expansion and investment processes, mainly in Poland, the USA, and the UK.
Moreover, Barbara Sobowska: (i) is not involved in any other professional activities outside her work for the Company which could be of material importance for the Company, (ii) is neither involved in any activity competitive to the business of the Company nor in any competing organization as a partner in a private partnership or any other partnership nor as a member of any body of a capital company and is not involved in any other legal body being its member, (iii) has never been finally convicted of fraud over the period of the last five years and has not been disqualified by court to act as a member of managing or supervisory bodies in commercial enterprises, (iv) over a period of at least five years Barbara has not been involved as a member of the board of directors or supervisory board in organizations being subject to insolvency, receivership or liquidation , (v) has not been entered into the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.
Beata graduated from Lazarski University obtaining a degree in Management / Marketing / Finance. Moreover, she completed post-graduate studies in HR Management and Business Coaching at Warsaw School of Economics. She is a licensed Real Estate Manager. For eight years Barbara was responsible for PLN50m worth client budgets and managed 2,000 people across Poland. In her career, among other things, in 2002, Beata managed the largest logistical project in the CEE concerning reinstalling satellite dishes, and in 2013-2014, she was responsible for preparing and negotiating with the buyer a PLN21m deal concerning selling an advertisement company. Today, she is managing a group of companies belonging the oldest advertisement agency, J. Walter Thompson, and over 100 people in Warsaw and Wrocław.
Beata has gained her professional experience in the following roles: (i) in 2000 – 2008 as a Client Service Manager/BOD Advisor in DEM’a Promotion Polska, (ii) in 2008 – 2014 as the Sales Director/CEO in Lemon Sky, (iii) since 2014 as the CEO in J. Walter Thompson Group Poland. As for the date of this report Beata is the CEO of J Sp. z o.o. And JWT Warszawa Sp. z o.o. Over the last three years, Beata held shares in ERTIBI Sp. z o.o.
As for the date of this report, she is not playing any role and does not hold any share whatsoever in the above mentioned entity. Beata has not been a member of the board of directors or supervisory board or a partner in any other commercial company over the period of at least the last three years.
